2. Description of Service
Pallio is an AI-powered platform that enables users to:
Create and interact with AI personas
Generate educational content including quizzes and study materials
Process and analyze documents, images, and audio files (from uploads or cloud storage services)
Share and discover community-created AI personas
Monetize AI personas and earn from user interactions
Integrate AI personas into messaging platforms (Telegram, Discord, WhatsApp)
Embed AI personas as interactive widgets on websites
Collaborate with other users through team features
3. User Accounts
3.1 Account Creation
You must provide accurate and complete information when creating an account
You must be at least 13 years old to use the Service
You are responsible for maintaining the security of your account credentials
You are responsible for all activities that occur under your account
3.2 Account Responsibilities
You must not share your account credentials with others
You must notify us immediately of any unauthorized use of your account
We reserve the right to terminate accounts that violate these Terms
4. Subscription Plans and Billing
4.1 Subscription Tiers
Pallio offers multiple subscription tiers (Free, Starter, Professional, Pro+, Premium, Enterprise), each with different features and usage limits.
4.2 Payment Terms
Subscription fees are billed in advance on a monthly or annual basis
All fees are non-refundable except as required by law
We reserve the right to change subscription pricing with 30 days notice
Failed payments may result in service suspension or termination
4.3 Cancellation
You may cancel your subscription at any time
Cancellation takes effect at the end of the current billing period
No refunds are provided for partial subscription periods
5. User Content
5.1 Your Content
You retain all rights to content you create using the Service
You grant Pallio a license to host, store, and display your content as necessary to provide the Service
You are solely responsible for the content you create and share
5.2 Content Standards
You agree not to create or share content that:
Violates any applicable laws or regulations
Infringes on intellectual property rights
Contains malware, viruses, or harmful code
Is defamatory, obscene, or offensive
Violates the privacy of others
Constitutes spam or unauthorized advertising
5.3 Public Content
Content you mark as "public" may be viewed and used by other users
We may feature public content in promotional materials
You may delete your public content at any time
5.4 Creator Earnings and Monetization
You may set prices for your AI personas
When users purchase access to your personas, you earn a share of the revenue (minus platform fees)
Creator payments are processed monthly via your registered payment method
You are responsible for all applicable income taxes and reporting on creator earnings
Pallio reserves the right to suspend monetization for personas that violate our policies
Refunds for persona purchases are handled according to Stripe's policies
6. AI-Generated Content
6.1 AI Outputs
AI-generated content is provided "as is" without warranties
AI outputs may contain errors, inaccuracies, or biases
You are responsible for reviewing and verifying AI-generated content before use
We do not guarantee the accuracy, completeness, or reliability of AI outputs
6.2 Usage Rights
You may use AI-generated content subject to these Terms
AI-generated content may not be original or unique
Similar or identical outputs may be generated for other users
6.3 Community Personas
Content generated by AI personas created by other users may contain different quality levels
Pallio does not guarantee accuracy or appropriateness of community-created personas
You use community personas at your own risk
Pallio is not liable for inaccurate, offensive, or harmful content from community personas
Attempt to gain unauthorized access to our systems
Interfere with or disrupt the Service
Use automated systems to access the Service without permission
Reverse engineer or decompile any part of the Service
Resell or redistribute the Service without authorization
Use the Service to harm, harass, or threaten others
Deploy bots that impersonate real people or organizations (without clear disclosure)
Use the Service to generate spam or unwanted messages on external platforms
Violate the terms of service of external platforms (Telegram, Discord, WhatsApp, etc.)
Use the Service to scrape or extract data from third-party services
Create personas designed to deceive or defraud users
Charge for access to free personas without explicit permission
Violate the Acceptable Use Policy (separate document)
8. Intellectual Property
8.1 Our Rights
Pallio and all related trademarks, logos, and service marks are our property
The Service's design, code, and functionality are protected by intellectual property laws
You may not use our intellectual property without written permission
8.2 Copyright Infringement
We respect intellectual property rights
We will respond to valid DMCA takedown notices
Repeat infringers may have their accounts terminated
9. Privacy and Data
9.1 Privacy Policy

9.3 Third-Party AI Providers
Your messages and conversation history are sent to third-party AI providers (Google Gemini, Anthropic Claude, Microsoft Azure OpenAI, HuggingFace) to generate responses
These providers process your data according to their own privacy policies
Your Google account identity is NOT shared with these providers
Only the current conversation context is shared, not your full chat history

9.4 Cloud Storage Integrations
You may optionally connect Google Drive, Microsoft OneDrive, or Dropbox accounts
We store encrypted credentials securely in your account
Documents from these integrations are embedded in your persona's knowledge base for AI context
Your cloud storage password is never stored or accessible to us or our AI providers
You can disconnect cloud integrations at any time from Settings, which prevents future document access
9.5 Messaging Bot Features
AI personas can be deployed as bots on Telegram, Discord, and WhatsApp
Bot interactions use the same data processing and AI providers as the main platform
Bot messages are stored in your account history like regular chat messages
You are responsible for disclosing to bot users that they are interacting with an AI
You must comply with each platform's terms and policies when operating bots
Pallio is not responsible for violations of external platform policies by your bots
9.6 Widget Embeddings
You may embed your AI persona as an interactive widget on your website
Widget users are not logged in and their interactions are tracked separately from main platform users
Widget interactions are subject to rate limiting and usage quotas
Users interacting with widgets may be subject to these Terms when applicable

9.7 Creator Monetization and Earnings
You may set custom pricing for your AI personas
When users purchase access to your personas, you earn a share of the revenue (minus Pallio's platform fee)
Creator earnings are paid monthly to the bank account or payment method you provide
You are responsible for all applicable taxes on creator earnings in your jurisdiction
Personas can be featured in the Pallio marketplace and community hub
Pallio may suspend monetization for personas that violate our policies or Acceptable Use Policy
9.8 Data Subject Rights and Requests
You have the right to request your personal data in portable, machine-readable format
You have the right to request deletion of your data
You have the right to correct inaccurate information in your profile
You have the right to opt-out of non-essential data processing
Users subject to GDPR (EU/UK/EEA) have additional rights including the right to lodge complaints
Users subject to CCPA (California) have specific rights to know, delete, and opt-out
Cloud Hosting: Google Cloud Platform (Firebase, Cloud Functions, Cloud Storage)
10.2 Third-Party Terms
Your use of third-party services is subject to their respective terms and privacy policies
We are not responsible for third-party services or content
Third-party integrations may change or be discontinued at any time
When you share your chat data with AI providers, your use is also governed by their terms and privacy policies

11. Service Availability
11.1 Uptime
We strive to provide reliable service but do not guarantee 100% uptime
The Service may be unavailable due to maintenance, updates, or technical issues
We are not liable for service interruptions or data loss

We may modify, suspend, or discontinue features at any time
We will provide reasonable notice of significant changes when possible
12. Disclaimers and Limitations of Liability
12.1 Warranties
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.
12.2 Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, PALLIO SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES.
12.3 Maximum Liability
OUR TOTAL LIABILITY TO YOU FOR ANY CLAIMS ARISING FROM YOUR USE OF THE SERVICE SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE 12 MONTHS PRECEDING THE CLAIM.

You agree to indemnify, defend, and hold harmless Pallio and its officers, directors, employees, and agents from any claims, liabilities, damages, losses, and expenses arising from:

14. Dispute Resolution

These Terms are governed by the laws of the United States, without regard to conflict of law provisions.

We may update these Terms at any time. Continued use of the Service after changes constitutes acceptance of the updated Terms.
16. Termination
16.1 Termination by You
You may terminate your account at any time through your account settings.
16.2 Termination by Us
We may terminate or suspend your account immediately, without prior notice, for:
Violation of these Terms
Fraudulent or illegal activity
Non-payment of fees
Extended inactivity
Any reason at our sole discretion
16.3 Effect of Termination
Upon termination:
Your right to use the Service immediately ceases
All your data will be deleted according to our data retention policies (see Privacy Policy Section 5)
Your chat histories, personas, and uploaded documents will be deleted within 30 days
Payment records will be retained as required by law (7 years)
Cloud storage integration credentials will be disconnected and deleted
Bot deployments will be disabled and cannot be reactivated
Backup copies may take up to 90 days to be fully purged from our systems
Creator earnings and refunds are handled according to Stripe's policies
Provisions that by their nature should survive termination will survive
